These terms and conditions for testimonial video production services (the “Video Production Terms”) govern the production of testimonial videos (“Testimonial Videos”) through Sayso Ltd's (“Sayso”) remote end-to-end testimonial video production platform. All video production services (“Video Production Services”) provided by Sayso to you (“you” or “Client”) are subject to these Video Production Terms and any other applicable policies incorporated by reference, including Sayso's Terms of Service.

1. Scope of Video Production Services.
Video Production Services include:
a - professional videographer services;
b - creative management (pre-production, shooting day, and post-production);
c - equipment package consisting of single 4K camera, lenses, filters, 2-3 lights, stands, and recording mic;
d - real-time monitoring link for the interview;
e - post roduction services including editing (with 2 revision rounds), color grading, title animation, sound mixing, and non-original music;
f - cloud backup through final delivery; and
g - final video delivery inFull HD 16:9 format.
Additional services such as subtitles, makeup, cut-outs and drone are available for an additional fee.

2. Payment Terms.
a - For a single video production:
payment terms shall be 50% of the initial fee shall be paid up on order approval and the balance (including payment for any items which are charged separately) within the earlier of 30 days from shooting date or 7 days from final delivery, with a late payment fee of US $100 per week.
b - For 5 or 10 production packs:
100% payment is due upon order approval. For any items which are charged separately, payment will be due upon delivery of the relevant Testimonial Video.
All fees are exclusive of applicable taxes.

3. Client Cancellation.
‍Clients will be allowed to cancel the Testimonial Video through the web-site.
a - Cancellations made up to 72 hours before the shooting day are allowed free of charge.
b - Later cancellation is subject to the following cancellation fee:
i. for cancellation made between 72 hours and up to 48 hours before the date set for the shooting: US$1,000;
ii. for cancellation made less than 48 hours before the date set for the shooting and until editing is commenced: US $1,500;
iii. for cancellation made after the date of the shooting but before any editing is performed: US $2,000; and
‍iv. Cancellation made after editing commenced is subject to full (100%) payment.
c - For the removal of doubt, if the Client elects to terminate the Testimonial Video the Client will not be entitled to receive the final version of the video as well as the raw material of the shooting.
d - For multiple video packs, fees apply per individual video, and cancelled videos may be replaced subject to payment of the cancellation fee as detailed above.

4. Client Rescheduling.
a - Client is allowed to postpone the shooting at least 72 hours in advance before shooting day at no cost.
b - Request for postponement submitted later will be charged as follows:
i. for requests submitted between 72 hours and up to 48 hours before the shooting day: US $500; and
ii. for requests submitted up to 48 hours before the shooting day: US$1,000.

5. Eligibility and Acceptance.
Video Production Services are available only for lawful purposes to individuals who are at least 18 years of age or to validly existing legal entities.
By placing an order through any available ordering mechanism (telephone, website, in-person, or otherwise), you accept these Video Production Terms.
If you are accepting on behalf of an organization or legal entity, you represent and warrant that you have the legal authority to bind such entity to these Video Production Terms.

6. Order Acceptance.
Sayso reserves the right to decline any order at its sole discretion. Video Production Services listings do not constitute offers by Sayso, and all orders are subject to Sayso's approval. Sayso may limit, decline, suspend, discontinue, or terminate any order with or without cause.

7. Production Scheduling.              
Clients must provide exact location (i.e. country, state and city/town), date, and time details at least 10 days before shooting.
Client is responsible for location coordination, permits, insurance, securing necessary location permissions, notifying all relevant parties of the shoot, coordinating interviewees’ attendance, and managing internal approvals.
While Sayso will endeavor to accommodate requested scheduling, it makes no guarantees regarding specific dates or times.

8. Pre-Production Specifications.
Sayso's AI platform shall create  a suggested creative brief and interview questions for Client.
Client may accept or edit such content and may additionally add other Client assets (including logos and fonts), and any additional branded content forintegration at least 4 days before shooting.
If the aforementioned information is not provided by such date, the platform shall automatically create the creative part of the order for the Client and Client shall be deemed to approve such part.

9. Post-Production Specifications and Revisions.
Sayso shall deliver an initial draft within 7 business days of shooting, including initial edit of all recorded content.
Client may provide feedback on video editing, color filters, graphics, B-roll selection, titles, and music.
The number of revision rounds depends on the selected package (two revisions for 1-video pack, three revisions for 5 or 10 video pack), with additional revisions available for an additional fee.

10. Revision Terms.
Two revision rounds are included in the 1-video pack, limited to editing, filters, graphics, B-roll, titles, and music.
Client shall have a five business day review period per draft.
Additional revisions are available at the current rate of US $150 per editing hour (or part thereof), with rates subject to change.

11. Client Materials.
Clients must provide all necessary branded materials (“Deliverables”), including logos, fonts, photos, and other brand assets.
Client warrants that all Deliverables are legally authorized for use, no third-party rights are violated, and all necessary permissions have been obtained.
Sayso assumes no liability for the content of Deliverables, errors or omissions in Deliverables, or damages resulting from Deliverables use.
Although Sayso is not responsible for any Deliverables, Sayso may delete or elect not to use any Deliverables, at any time without notice to you, if Sayso becomes aware that it violates any provision of the Agreement, or any law.

12. Interviewee(s) Managment.
Client is responsible for securing and compensating all interviewee(s), ensuring interviewee(s) attendance, and obtaining necessary releases.
The identity of the interviewee(s) must be designated at least 4 days prior to shooting, otherwise order may automatically be cancelled.

13. Production Day Protocols.
The shooting schedule shallbe confirmed 10 days in advance.
Client shall receive a real-time monitoring link for the interview, and a representative must be present (physically or remotely).
Therefore, any comments you may have with respect to the shooting, including shooting positioning, camera angles, background etc., will be required to be made while Sayso’s team is shooting on set.

14. Content Responsibility.
Client assumes full responsibility for all recorded content, location conditions, interviewee(s) and other participants appearance, and speech quality (including in cases of slurred or slow speech) and content.

15. Deliveries.
Final version shall be provided via downloadable link valid for 21 days.
Raw footage shall be provided via downloadable link valid for 14 days.
Sayso shall not be responsible for long-term storage of materials.

16. Intellectual Property.
Client shall receive copyright in the Testimonial Video upon full payment.
Client hereby grants Sayso a nonexclusive, transferable, sub-licensable, royalty-free, irrevocable, worldwide license to use any video and audio Sayso records on Client's behalf (as well as any Deliverables or other material provided by Client which constitute or embody proprietary rights of Client or other third parties) in connection with the Video Production Services.

17. Indemnification.
Client shall defend, indemnify, and hold harmless Sayso and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees and costs of enforcing any right to indemnification hereunder, arising out of or resulting from:
(i) any claim or allegation that any Deliverables, Client-provided content, or Client's instructions to Sayso infringe, misappropriate, or otherwise violate any intellectual property rights or other rights of any third party;
(ii) Any claim or allegation relating to Client's breach of any representation, warranty, or obligation under these Video Production Terms;
(iii) Any claim or allegation relating to Client's use, distribution, or exploitation of the Testimonial Video in a manner not expressly authorized by these Video Production Terms;
(iv) Any claim or allegation by or on behalf of any participant, talent, or other third party involved in the production of the Testimonial Video at Client's request or direction; and
(v) Any claim or allegation arising from Client's negligence, willful misconduct, or breach of any applicable law.

18. Marketing Rights.
Unless explicitly refused in writing, Sayso may use completed videos for promotional purposes, marketing materials, and social media.

19. Sayso Cancellation.
If Sayso terminates Video Production Services without cause, a full refund of paid amounts shall be provided within 10 business days.
